Quality and service under a new name: BERU changes name and corporate form to BorgWarner BERU Systems GmbH

Ludwigsburg, December 14, 2009 – BERU AG, the Ludwigsburg-based specialist for diesel cold-start technology, ignition technology, electronics and sensors, officially changed its corporate form to a limited liability company (GmbH). In the context of this change, the company’s name was also altered: The company now operates as “BorgWarner BERU Systems GmbH”. Customers and distribution partners can continue to rely on a broad range of high-quality products, strong reliability and excellent service.

The new name expresses the relationship to the US parent company, BorgWar-ner, while retaining the valuable brand name, “BERU.” “We are pleased that by taking this step, following several years of a strategic partnership with BorgWarner, BERU is now fully integrated into BorgWarner” stated Dr. Thomas Waldhier, hitherto Chairman of the Executive Board of BERU AG and now President and General Manager of BorgWarner BERU Systems GmbH. “The change of corporate form will not result in any significant changes. Like before, BorgWarner BERU Systems will be managed as an independent business unit within BorgWarner.”

BorgWarner became a majority shareholder of BERU AG at the beginning of 2005, acquiring an equity interest of nearly 70%. The two automotive suppliers’ collaboration was intensified when BorgWarner ownership exceeded the 75% threshold at the end of 2007, and the companies concluded a domination and profit transfer agreement in 2008. Full integration followed, and BERU’s stock-exchange listing was discontinued in 2009.
